Our team has been engaged as lead experts in RMBS litigation for years. After reviewing thousands of loans, we’ve learned a few things that are relevant to the CMBS discussion.

Lease payments for retail space in malls and in mixed use buildings have slowed or stopped. In June of 2020, only 61% of retail rents were paid, according to Datex Property Solutions. If lease payments stop then commercial building operators will not be able to cover the debt service on the properties they mortgaged. Debt service does not go to the lender—they shed the responsibility for these loans by selling into a securitization. It’s the investor who loses.

An argument can be made that the lenders are affected too. After the RMBS crisis, the Dodd-Frank Act was passed in 2010. One of the many rules included was one meant to force ABS issuers to keep some skin in the game. This is the credit risk retention rule (sec. 941) which went into effect in 2016. It requires that the issuers keep 5% of the issue on their books for at least five years. It also stipulates that the lender cannot hold senior tranches.
